These Terms and Conditions ("Agreement") govern the use of services provided by smartATX LLC ("smartATX," "Company," "we," "us," or "our"). By purchasing or using our services, you ("Client," "you," or "your") agree to be bound by this Agreement.

1. Description of Services

smartATX provides an AI-powered client acquisition system known as Jessica AI, designed for local service businesses.

Services include:

- Google Search Ads creation and management

- AI-powered call answering

- Lead qualification and routing

- Automated appointment scheduling

- CRM access for lead and appointment tracking

- SMS reminders and follow-ups (A2P fees and approval needed)

- Google review request automation

- Custom AI training specific to each business

smartATX operates as a Software-as-a-Service (SaaS) provider combined with managed marketing services.

2. Business Use Only

Services are provided exclusively for business purposes.
By using smartATX, you confirm that you are operating a legitimate business entity and are authorized to enter into this Agreement.

3. Fees and Payment Terms

3.1 Monthly Service Fee

The base service fee for Jessica AI is:

$500 per month

3.2 Advertising Budget

Clients are required to maintain a minimum ad budget of:

$500 per month (paid directly to the advertising platform)

Ad budget management fees are structured as follows:

$500 – $1,000 → 0% management fee

$1,001 – $2,000 → 15% management fee

$2,001+ → 25% management fee

Advertising budgets are separate from the smartATX service fee.

3.3 Billing Authorization

By subscribing, you authorize smartATX to charge your payment method on file on a recurring monthly basis.

Failure to pay may result in immediate suspension of services.

4. Term and Commitment

All smartATX services require a 6-month minimum commitment.

After the initial 6-month term, services continue on a month-to-month basis unless canceled in writing.

Early termination does not waive outstanding payment obligations.

5. No Guarantee of Results

smartATX provides systems, automation, and marketing management. However:

We do not guarantee a specific number of leads.

We do not guarantee a specific number of appointments.

We do not guarantee revenue or return on investment.

Advertising performance depends on market conditions, competition, pricing, and other external factors beyond our control.

Client acknowledges that smartATX is not responsible for the closing of sales. The Client remains responsible for handling estimates, pricing, and final customer agreements.

6. Third-Party Platforms

smartATX integrates with third-party services including, but not limited to:

Google Ads

Meta (if applicable)

SMS providers

Call routing providers

CRM infrastructure providers

smartATX is not responsible for:

Ad account suspensions

Policy violations

Platform outages

Changes in advertising costs (CPC fluctuations)

Third-party service disruptions

Client agrees to comply with all advertising platform policies.

7. AI Disclaimer

Jessica AI is an artificial intelligence system trained using business-specific information provided by the Client.

Client acknowledges:

AI responses are generated dynamically.

AI may occasionally make errors or misinterpret information.

Client is responsible for reviewing and requesting training for accuracy.

smartATX does not guarantee perfect AI performance.

8. Client Responsibilities

Client agrees to:

Provide accurate business information.

Provide service area details.

Provide pricing guidance when requested.

Maintain active advertising accounts.

Respond to scheduled appointments professionally.

Client is solely responsible for:

Licensing and legal compliance of their business.

Pricing decisions.

Service delivery.

Customer disputes.

9. CRM Usage

The CRM provided by smartATX is included as part of the Jessica AI system.

The CRM is provided for use during active subscription.
If services are terminated, CRM access may be revoked unless otherwise agreed in writing.

10. Limitation of Liability

To the maximum extent permitted by law:

smartATX LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

smartATX's total liability under this Agreement shall not exceed the total amount paid by the Client to smartATX in the preceding three (3) months.

11. Confidentiality

smartATX agrees to maintain confidentiality of Client business information.

Client agrees not to share proprietary smartATX processes, scripts, AI configurations, or system architecture.

12. Intellectual Property

All software, automation systems, AI scripts, marketing frameworks, and processes remain the exclusive property of smartATX LLC.

Client retains ownership of their brand assets, and advertising accounts.

13. Suspension or Termination

smartATX reserves the right to suspend services if:

- Payment fails

- Fraudulent activity is detected

- Client violates platform rules

- Client uses services for unlawful purposes

14. Governing Law

This Agreement is governed by the laws of the State of Texas.

Any disputes shall be resolved exclusively in the courts located in Texas.

15. Modifications

smartATX reserves the right to update these Terms at any time. Continued use of services constitutes acceptance of updated terms.
