These Terms and Conditions ("Agreement") govern your use of the services provided by smartATX LLC ("smartATX", "Company", "we" or "our"). By purchasing or using our services, you ("Customer", "you" or "your") agree to be bound by this Agreement.

1. Description of Services smartATX provides an AI-powered customer acquisition system known as Jessica AI, designed for local service companies. Services include:

Creation and management of Google search ads / Meta.

AI-powered call handling.

Qualification and routing of leads.

Automated appointment scheduling.

Access to smartATX CRM for lead and appointment tracking.

Reminders and follow-ups via SMS and WhatsApp (Subject to fees and A2P 10DLC approval).

Automating review requests on Google.

Customized AI training specific to each business.

smartATX operates as a Software as a Service (SaaS) provider combined with managed marketing services.

2. Exclusive Commercial Use The services are provided exclusively for commercial purposes. By using smartATX, you confirm that you operate a legitimate business entity and are authorized to enter into this Agreement.

3. Fees and Payment Terms 3.1 Monthly Service Fee The base service fee for Jessica AI and smartATX CRM will be the fee applicable to the plan selected at the time of purchase on our website.

3.2 Advertising Budget Customers with advertising plans must maintain a minimum monthly advertising budget (e.g., $300 or the amount specified in their plan description), which is paid directly to the chosen advertising platform. Advertising budget management fees are structured as follows:

$0 – $1,000 → 0% management fee.

$1,001 – $2,000 → 15% management fee.

$2,001+ → 25% management fee. Advertising budgets are separate from the smartATX service fee.

3.3 Billing Authorization By subscribing, you authorize smartATX to charge your registered payment method on a monthly and recurring basis. Failure to pay may result in immediate suspension of services.

4. Term and Cancellation (No Binding Contracts) All smartATX services are offered on a month-to-month basis. We do not require long-term contracts or binding commitments. You can cancel your subscription at any time. Cancellation will take effect at the end of your current monthly billing cycle. Early termination of service does not waive any outstanding payment obligations incurred before the cancellation date.

5. No Guarantee of Results. smartATX provides marketing systems, automation, and management. However:

We do not guarantee a specific number of leads.

We do not guarantee a specific number of appointments.

We do not guarantee revenue or return on investment. Advertising performance depends on market conditions, competition, pricing, and other external factors beyond our control. The Client acknowledges that smartATX is not responsible for closing sales. The Client remains responsible for managing budgets, pricing, and final agreements with the consumer.

6. Third-Party Platforms smartATX integrates with third-party services including, but not limited to:

Google Ads (if applicable)

Goal (if applicable)

SMS and WhatsApp providers

Call routing providers

CRM infrastructure providers

smartATX is not responsible for:

Advertising account suspensions.

Policy violations.

Platform falls.

Changes in advertising costs (CPC fluctuations).

Interruptions in third-party services. The Client agrees to comply with all advertising platform policies.

7. AI Disclaimer Jessica AI is an artificial intelligence system trained using specific business information provided by the Client. The Client acknowledges that:

The AI ​​responses are generated dynamically.

AI can occasionally make mistakes or misinterpret information.

The customer is responsible for reviewing and requesting training adjustments for greater accuracy. smartATX does not guarantee perfect AI performance.

8. Customer Responsibilities The Customer accepts:

Provide accurate business information.

Provide details of the service area.

Provide pricing guidelines when requested.

Maintain active advertising accounts.

Respond to scheduled appointments in a professional manner.

The Client is solely responsible for:

Legal and licensing compliance for your business.

Pricing decisions.

Provision of service.

Disputes with customers.

9. Use of smartATX CRM Access to smartATX CRM is included as part of the Jessica AI system. The CRM is provided for use during an active subscription. If services are canceled, access to the CRM may be revoked unless otherwise agreed in writing.

10. Limitation of Liability To the maximum extent permitted by law:

smartATX LLC will not be liable for any indirect, incidental, special, consequential or punitive damages.

smartATX's total liability under this Agreement will not exceed the total amount paid by the Customer to smartATX in the preceding three (3) months.

11. Confidentiality. smartATX agrees to maintain the confidentiality of the Client's business information. The Client agrees not to share smartATX's proprietary processes, scripts, AI configurations, or system architecture.

12. Intellectual Property All software, automation systems, AI scripts, marketing frameworks, and processes remain the exclusive property of smartATX LLC. The Client retains ownership of its brand assets and advertising accounts.

13. Suspension or Termination smartATX reserves the right to suspend services if:

The payment failed.

Fraudulent activity detected.

The Client violates the platform rules.

The Client uses the services for illegal purposes.

14. Applicable Law This Agreement is governed by the laws of the State of Texas. Any dispute will be resolved exclusively in the courts located in Texas.

15. Modifications smartATX reserves the right to update these Terms at any time. Continued use of the services constitutes acceptance of the updated terms.
